Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of the APEX Nerd Labs website (apexnerdlabs.com), booking, purchasing, and receiving AI consulting, assessment, and workshop services (“Services”) provided by APEX Nerd Labs (“we,” “us,” or “our”).

By booking, purchasing, or otherwise engaging our Services, you agree to these Terms. If you do not agree, do not book or use our Services.

2. Services Description

APEX Nerd Labs provides the following Services:

  • Mini Audit: A free 15-minute consultation call to identify a single AI bottleneck and provide one concrete recommendation.
  • Full AI Audit: A comprehensive AI readiness assessment including a scored evaluation, prioritized roadmap of opportunities, and a written summary document.
  • Workshops and training: Agentic AI training sessions for teams, delivered online or on-site.
  • Consulting and implementation: Custom AI implementation, agent development, and engineering support.

All Services are advisory in nature. We provide recommendations, analysis, and implementation support. We do not guarantee specific business outcomes, revenue increases, cost savings, or any particular return on investment from our recommendations.

3. Booking and Payment

  • Booking is done through our Cal.com scheduling page or direct communication.
  • Payment for paid Services is processed securely through Stripe. We do not store your payment card information.
  • The Full AI Audit price is stated at the time of booking and is fixed for that engagement. Prices may change for future engagements.
  • Cancellation: If you cancel a paid booking more than 48 hours before the scheduled time, you will receive a full refund. Cancellations within 48 hours are not eligible for a refund.
  • No-shows without cancellation are not eligible for a refund.

4. Client Responsibilities

To deliver effective Services, we need you to:

  • Provide accurate information about your business, workflows, tools, and constraints during assessments and consultations.
  • Attend scheduled calls and sessions on time.
  • Provide access to relevant systems, documentation, or personnel as needed for the engagement scope.
  • Respond to requests for information within a reasonable timeframe during an engagement.

5. AI-Related Disclaimers

AI technology is evolving rapidly. We make the following acknowledgments:

  • AI recommendations and model capabilities may change over time. Our recommendations are based on current technology as of the date of delivery.
  • AI tools can produce incorrect, incomplete, or unreliable outputs. You remain responsible for validating any AI-generated content or decisions before acting on them.
  • We do not claim that AI solutions are universally suitable for all business contexts. Our audits identify opportunities specific to your situation and flag areas where AI is not yet appropriate.
  • You are responsible for ensuring any AI tool or system you deploy complies with applicable laws, regulations, and ethical standards in your jurisdiction and industry.

6. Intellectual Property

  • The content, methodology, frameworks, and deliverables we create for you during an engagement are your property upon full payment, unless otherwise agreed in writing.
  • Our general methodologies, frameworks, and reusable tools remain our intellectual property. We do not claim ownership of your business data, processes, or proprietary information.
  • You may not resell, redistribute, or publicly share our proprietary frameworks, training materials, or internal tools without our written permission.

7. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from these Services shall not exceed the amount you paid for the specific engagement giving rise to the claim.
  • We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
  • Our recommendations are advisory. You make the final decision on whether and how to implement them. We are not responsible for business outcomes resulting from your implementation choices.

8. Confidentiality

We treat your business information as confidential. We will not disclose your business details, workflows, data, or the fact that you are a client to third parties without your consent, except:

  • As required by law or legal process.
  • With anonymized, aggregated data used to improve our general methodology (no specific client identifiers).

You agree to keep confidential any proprietary information, pricing, or terms we share with you during our engagement.

9. A2P Messaging Compliance (SMS / Text)

If you receive marketing or transactional SMS messages from APEX Nerd Labs through HighLevel or any SMS platform:

  • Program name:APEX Nerd Labs — AI Consulting & Workshops.
  • Program description: Appointment reminders, booking confirmations, engagement updates, and occasional marketing messages about AI consulting services, workshops, and resources.
  • Message frequency: You will receive messages related to your bookings and engagement. Marketing messages will be sent no more than monthly unless you request otherwise.
  • Message types: Booking confirmations, appointment reminders, follow-up messages about your audit or workshop, occasional updates about new services or resources.
  • Opt-out instructions: Reply STOP to opt out of all future messages. You will receive a confirmation and be removed immediately.
  • Rejoining: Reply START to opt back in at any time.
  • Standard message and data rates may apply.

10. Termination

Either party may terminate an engagement with written notice. Upon termination, you will be charged for work completed up to the termination date. Any prepaid amounts for unstarted work will be refunded.

11. Changes to These Terms

We may update these Terms from time to time. Changes are effective immediately upon posting at apexnerdlabs.com/terms. Your continued use of our Services after changes constitutes acceptance of the updated Terms.
